Vietnam.

Vietnam has a population of approximately 75 million people, a gross domestic
product of just over $100 US billion annually (purchasing power parity), real
GDP growth rate of 9.4% and the IMF projects real GDP growth to continue at
approximately 7% annually.

    The agreement signed between the two companies provides for the necessary
terms and conditions required to actively engage in the bidding process
underway in Vietnam.  AGS delivered the proposal, with behalf of the consortium
partners, with April 30, 1998 to the Construction Lottery of the Capital -
IIanoi, as per the Request for Proposal.
    This agreement is a significant step in the development of a long-term
strategic alliance between the two companies.
